Invention Disclosure Form

This form is used to report an invention to the university. For more detailed instructions, go the the Reporting an Invention page.

Faculty may be asked to sign agreements when requesting materials from investigators at other institutions or from a company or when discussing confidential information. Any such agreements must be reviewed, approved and signed by UMBC’s authorized representative. Only individuals who have specifically been granted authority by an officer of the institution may sign these agreements on behalf of the university. Please contact OTD should you have any questions about this process.

Mutual Confidentiality Agreements

When a faculty member and a company (or other entity outside the university) would like to disclose confidential information, a Mutual Confidentiality Agreement (also known as a Confidentiality Agreement, NDA, CDA or PIEA) may be used to ensure that the recipient of the information will keep the disclosed information confidential and use it only for the purpose of evaluation. Please use the compliance checklist to ensure all compliance and regulatory issues (IRB, IACUC, conflicts of interest, export controls, etc) are resolved before the CDA is signed.

Material Transfer Agreement

When investigators receive requests for biological materials, they may want to consider using a material transfer agreement. Material Transfer Agreements (or MTAs) are used to ensure that materials sent to an investigator at another company or institution will be used only for research purposes and will not be used for commercial purposes without the provider’s approval. Please use the compliance checklist to ensure all compliance and regulatory issues (IRB, IACUC, conflicts of interest, export controls, etc) are resolved before the MTA is signed.
